Welcome to Aiudax Ltd (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website (www.aiudax.com) and our services, including the HRAGO content generation platform, AI-powered SEO, Social Media Management, AI-Generated podcast and other related digital marketing services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

1. Acceptance of Terms

By accessing or using our Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using our Services on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

We provide AI-powered content generation, SEO optimization, social media management, AI-generated podcast and related services. The specific features and functionalities of our Services may vary depending on your chosen service plan. Our services are intended to provide innovative, value-driven content and marketing solutions. However, Aiudax does not guarantee any specific results and it is ultimately up to you to approve the services. Therefore Aiudax is not liable for any issues you experience from our services.

3. Account Registration

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. Payment & Subscription

If you purchase a subscription to our Services, you agree to pay the applicable fees as described on our website. Payments for subscriptions are processed through our selected payment gateway and require you to provide accurate and up-to-date payment information. Failure to do so may result in the suspension or termination of your subscription. Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable, except as otherwise stated in our Refund Policy (see Section 16).

Unless you cancel your subscription, it will automatically renew at the end of each billing cycle. You will be charged the same amount as the previous cycle unless the subscription plan or pricing has been modified. You can cancel your subscription at any time through your account settings or by reaching out to us. Upon cancellation, you will retain access to the subscribed features until the end of the current billing cycle. No refunds will be provided for the remaining days of the subscription if canceled before the end of the cycle.

Aiudax reserves the right to modify subscription prices and Pay-As-You-Go (PAYG) package prices. For subscription price changes, you will be notified of any changes at least 30 days in advance. Continued use of the service after the price change comes into effect constitutes your agreement to the new pricing.

Our Pay-As-You-Go (PAYG) packages are non-refundable, except as otherwise stated in our Refund Policy (see Section 16).

5. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are solely responsible for the content generated using our Services. You agree not to:

Use our Services to create or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.

Use our Services to infringe upon the intellectual property rights of others.

Upload or transmit viruses or other malicious code.

Interfere with or disrupt the operation of our Services.

Attempt to gain unauthorized access to our systems or networks.

Use bots/malware/viruses

6. User Content & Ownership

You retain ownership of the data you provide to us, including any input data used to generate HRAGO content, as well as any HRAGO-generated content, podcasts, or other materials we create for you as part of our services. By using our services, you agree that Aiudax may collect and utilize data as we deem proper to improve HRAGO’s performance and for internal research purposes. All information collected by HRAGO for these purposes is anonymized and is not considered personal data.

7. Client Responsibility

You are solely responsible for ensuring that your use of the content we provide to you complies with all applicable laws, regulations, and third-party rights. We are not responsible for any claims, damages, or liabilities arising from your use of the content, including but not limited to copyright infringement, defamation, or violation of privacy rights. If you choose to give us access to your marketing data, SEO, social media, and do not check our outputs, you will still be fully responsible for the content.

8. Intellectual Property

The Services and all content and materials included on our website, including but not limited to text, graphics, logos, images, software, and code, are owned by or licensed to Aiudax Ltd and are protected by copyright, trademark, and other intellectual property laws.
We are not responsible for intellectual property rights infringements or AI generated content that might be plagiarized or stolen from a user.

9. Third-Party Links & Services

Our Services may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You access and use such websites or services at your own risk.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AIUDAX LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESS TO OR USE OF OUR SERVICES.

You agree to indemnify, defend, and hold harmless Aiudax Ltd and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of our Services or your breach of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The place of arbitration shall be London, England. The language of the arbitration shall be English.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the changes.

16. Refund Policy

Due to the nature of our services, we do not offer refunds unless we are at fault. If you believe we are at fault, please contact us via email or through the contact form on our website to discuss the issue. In such cases, we will, at our discretion, either provide a replacement service at no extra cost (e.g., a new HRAGO piece of content, a new AI podcast episode, etc.) or issue a refund. Refund requests must be submitted within 14 days of the date the service in question was delivered to you, or they will not be processed.

17. General

These Terms constitute the entire agreement between you and Aiudax Ltd relating to your use of our Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
